These terms apply when you use the Paygent wallet, the Paygent phone app or the Paygent connector for AI agents. By opening a wallet or connecting an agent, you agree to them.
1. What Paygent is
Paygent is a wallet that AI agents you connect can ask to pay from. An agent can prepare a payment and ask for your approval. Nothing is paid until you approve it with your PIN. Paygent is a technology company, not a bank. Payments, deposit accounts, payouts, agent cards and identity checks are provided by licensed financial institutions we partner with, under their licences. Your wallet balance does not earn interest.
2. Who can use Paygent
- You must be 18 or older and able to enter a contract.
- You must give true details about yourself and keep them up to date. We ask for your Bank Verification Number (BVN) and other details to confirm who you are before some features, such as agent cards and higher limits.
- One person, one wallet. You may not open a wallet for someone else or let someone else use yours.
3. Keeping your account safe
- Keep your sign-in PIN and your approval PIN secret. Paygent will never ask for either outside its own website or phone app, and no agent should ever ask you for them.
- Tell us at once at support@paygenthq.online if you think someone else knows a PIN or has used your account.
- Five wrong PINs in a row lock that PIN for a time. Repeated locks can pause your wallet while we check it is safe.
4. Your AI agents
- You choose which agents to connect. Each one gets its own slot with the daily limit and tools you set, and you can pause or disconnect it at any time.
- Agents are run by other companies, such as Anthropic, OpenAI or xAI. Paygent does not control what an agent says, finds or recommends, and is not responsible for its mistakes.
- Check each approval request before you approve it: the recipient, the amount and what is being bought. Approving with your PIN is your instruction to pay, and you are responsible for payments you approve.
- An agent can never approve its own request, raise its limit, switch its tools on, add money or withdraw.
5. Adding and taking out money
- You can add money by bank transfer to your wallet account number, by direct debit, or in stablecoin where offered. Money counts once our partner confirms it has arrived.
- Stablecoin deposits are converted to naira at the rate shown. Sending the wrong coin or using the wrong network can lose the money, and we may not be able to recover it.
- You can withdraw to a bank account in your own name. Withdrawals pause for 24 hours after a PIN reset, to protect you.
6. Payments
- Paygent pays by bank transfer, mobile money or your agent card, depending on what the merchant accepts. An approval request expires if you don’t answer in time.
- For payments in another currency, you pay in naira at the rate shown when you approve. If the rate moves by more than 1% before you approve, the request is cancelled and the agent must prepare it again.
- A payment that has been sent usually cannot be cancelled. If a payment fails, the amount returns to your wallet.
- Paygent is not the seller of anything your agent buys. Problems with goods or services, such as delivery, quality or refunds, are between you and the merchant.
7. Card payments at a checkout
Some merchants only take cards. For those, Paygent uses your agent card, which stays empty and locked until you approve a payment.
- Loading the card. When you approve, the card is loaded with the approved amount plus a small margin for the exchange rate, and unlocked only for that payment. Whatever the merchant does not charge comes back to your wallet. Leftovers too small to withdraw (under US$0.50) stay on the locked card.
- Paygent enters the card for you. By approving a card payment, you allow Paygent to type the card into that merchant’s checkout and press pay, for the merchant and amount you approved and nothing else. Paygent does this in a secure browser on its own servers, so your agent never sees the card number.
- When your bank needs you. If your bank asks you to confirm a card payment with a code, Paygent sends you a link to its browser, where you enter the code yourself. Paygent never enters it for you. The card stays ready for a limited time, up to 15 minutes; after that it is locked again and, if nothing was charged, the money comes back to your wallet.
- After Paygent presses pay. The payment can no longer be cancelled from Paygent. If the merchant’s charge arrives late, even after the payment showed as closed, it is taken from your wallet, never more than the amount you approved.
- What Paygent will not do. Paygent never gets around a website’s security checks for you. Some checkouts may not work with Paygent; when that happens, nothing is charged and the money comes back to your wallet.
8. Fees
Any fee for a payment, deposit or withdrawal is shown before you approve it. We tell you before we add or change a fee. Your bank or card issuer may charge its own fees.
9. What you may not do
- Use Paygent for anything illegal, including fraud, money laundering, terrorist financing or getting around sanctions.
- Pay for illegal goods or services, gambling, weapons, drugs or adult content.
- Give false details, use someone else’s identity or account, or open more than one wallet.
- Try to break, overload, copy or get around Paygent’s security or limits, or connect an agent built to do so.
We may hold, refuse or report a payment we reasonably believe breaks these rules or the law.
10. Mistakes, disputes and reversals
- Tell us within 45 days if a payment looks wrong. We will look into it with our payment partner and tell you what we find.
- If money reaches your wallet by mistake, we may take it back.
- Before going to court, we both agree to try to settle a disagreement by talking for at least 14 days.
11. Our responsibility to you
We work to keep Paygent available and safe, but we provide it “as is” and can’t promise it will always be available or free of errors. We are not responsible for losses caused by agents you connected, payments you approved, merchants, events outside our control, or you sharing a PIN. Where the law allows, our total responsibility for any claim is limited to the amount of the payment the claim is about. Nothing in these terms limits responsibility that the law does not allow us to limit.
12. Your responsibility to us
If you break these terms or the law and that causes us a loss or a claim from someone else, you agree to cover it.
13. Paygent’s name and software
Paygent’s name, logo, software and designs belong to us. You may use them only to use Paygent as these terms allow.
14. Closing your wallet
- You can close your wallet at any time by writing to us. We pay out your balance to a bank account in your name, minus anything you owe.
- We may pause or close your wallet if you break these terms, if the law or our payment partner requires it, or if we see activity that looks like fraud. Where we can, we tell you why.
- We keep records after closing for as long as the law requires, as our privacy policy explains.
15. Changes to these terms
When we change these terms we update the date at the top and tell you by email or in the wallet before an important change takes effect. If you keep using Paygent after that, the new terms apply.
16. Law
These terms are governed by the laws of the Federal Republic of Nigeria. Courts in Lagos State can hear any dispute about them.
